Terms of Service

By engaging NEXUS DIGITAL ("we," "our," or "us") for any services, or by using our website at nexusdigital.in, you ("Client" or "you") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity.

These terms constitute a legally binding agreement between you and NEXUS DIGITAL. If you do not agree to these terms, please do not use our services.

NEXUS DIGITAL provides digital marketing and web development services, including but not limited to:

Specific deliverables, timelines, and scope will be defined in individual project proposals or service agreements provided to each client.

All pricing is outlined in the project proposal or service agreement provided before work begins. The following payment terms apply:

• Project-Based Work: A minimum of 50% advance payment is required before project commencement. The remaining balance is due upon project completion and before final delivery.
• Monthly Retainers: Monthly service fees are invoiced at the beginning of each billing cycle and are due within 7 days of invoice date.
• Ad Spend: Advertising budgets (Google Ads, Facebook Ads, etc.) are separate from service fees and are paid directly to the respective platforms or as agreed.
• Currency: All prices are quoted in Indian Rupees (INR) unless otherwise specified.
• Taxes: Prices are exclusive of applicable taxes (GST). Tax will be added as per prevailing Indian tax laws.

Late payments may incur a 2% monthly interest charge. We reserve the right to pause or suspend services for overdue accounts exceeding 15 days.

Project timelines are estimated based on the agreed scope of work and are shared in the project proposal. Please note:

• Timelines begin after receipt of advance payment and all required materials from the client (content, images, credentials, etc.).
• Delays in client feedback, content provision, or approval may extend the timeline accordingly.
• We will communicate any potential delays proactively and work to minimize impact.
• Rush projects or expedited timelines may incur additional charges (up to 25% surcharge).
• Each project includes up to 2 rounds of revisions. Additional revisions will be billed at our standard hourly rate.

Intellectual property rights are assigned as follows:

To ensure successful project delivery, the client agrees to:

• Provide accurate and complete information, content, and materials in a timely manner.
• Designate a primary point of contact for project communication.
• Provide feedback and approvals within agreed timeframes (typically 3-5 business days).
• Ensure all content provided does not infringe on third-party intellectual property rights.
• Provide necessary access credentials (hosting, domain, analytics, ad accounts) as required.
• Maintain backups of their own data and content.

To the maximum extent permitted by applicable law:

• NEXUS DIGITAL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the 3 months preceding the claim.
• We do not guarantee specific results from marketing campaigns, including but not limited to search engine rankings, website traffic, lead generation, or revenue increases. Results depend on numerous factors beyond our control.
• We are not liable for any losses resulting from third-party platform changes (Google algorithm updates, social media policy changes, ad platform modifications, etc.).
• We are not responsible for website downtime caused by the client's hosting provider or domain registrar.

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes business strategies, financial information, trade secrets, customer data, and any other information designated as confidential. This obligation survives the termination of the agreement for a period of 2 years.

Either party may terminate the engagement under the following conditions:

• By Client: The client may terminate at any time with 15 days' written notice. Fees for work completed up to the termination date are non-refundable. Advance payments for incomplete work will be refunded on a pro-rata basis.
• By NEXUS DIGITAL: We may terminate the agreement with 15 days' notice if the client fails to make timely payments, provide required materials, or breaches these terms.
• Immediate Termination: Either party may terminate immediately if the other party commits a material breach that remains uncured for 7 days after written notice.

Upon termination, we will deliver all completed work and materials. The client is responsible for payment of all services rendered up to the date of termination.

These Terms of Service are governed by and construed in accordance with the laws of India. Key provisions:

We reserve the right to update or modify these Terms of Service at any time. Changes will be effective upon posting to this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the updated terms. We will make reasonable efforts to notify active clients of material changes.
